These Terms of Service (“Terms”) govern your use of gothamcompounds.com and the related accounts, communications, products, orders, and services offered by Gotham City Holdings LLC, doing business as Gotham Compounds (“Gotham,” “we,” “us,” or “our”) (collectively, the “Services”).
When Gotham presents these Terms through a conspicuous affirmative-acceptance step, you agree by completing that step. Mere use of the Services is not treated as proof of assent to a provision requiring contractual acceptance.
If you do not agree to these Terms, do not use the Services.
Our Privacy Policy, Research Use Only Policy, Shipping & Delivery Policy, and Returns & Refunds Policy are incorporated into these Terms. If a specific policy conflicts with these Terms on its subject, the more specific policy controls unless applicable law requires otherwise.
You must be at least 21 years old, have legal capacity to enter this agreement, and complete all required site-entry, registration, verification, and Research Use Only attestations.
If you act for an organization, you represent that you have authority to bind it, and “you” includes both you and that organization.
Creating an account or viewing the restricted catalog does not establish product eligibility, order acceptance, legal clearance, or approval of your research. You must provide complete, accurate, and current information.
All products are offered and sold exclusively for lawful, non-clinical laboratory, analytical, and scientific research.
They are not for human consumption, animal administration, veterinary use, diagnostic use, therapeutic use, preventive use, or any other clinical use.
The Research Use Only Policy contains additional purchaser, order, handling, transfer, verification, attestation, and documentation requirements. A violation is a material breach of these Terms.
You are responsible for your account credentials and activity.
You may not share, sell, transfer, or misuse an account, impersonate another person or entity, or bypass a gate, restriction, verification, or security control.
Notify us promptly at support@gothamcompounds.com if you suspect unauthorized access.
We may request additional information and may restrict, suspend, or terminate access when information is incomplete, inconsistent, unverifiable, unlawful, or indicates prohibited use, fraud, diversion, security risk, or an attempted bypass.
We seek to describe products accurately, but information may contain errors or change. Product availability, specifications, packaging, lot information, testing, documentation, and pricing remain subject to confirmation during order review.
A Certificate of Analysis (COA) applies only to the identified lot, sample, analyte, method, and result. It is not evidence of clinical safety, effectiveness, sterility, suitability for human or animal use, or FDA approval.
Submitting an order is an offer to purchase; it is not Gotham’s acceptance.
An automated acknowledgment confirms receipt only. Gotham accepts an order when the approved product ships and Gotham sends a shipment confirmation.
We may hold, reject, limit, or cancel an order based on purchaser verification, research purpose, product or destination eligibility, payment, inventory, pricing error, safety, compliance, suspected diversion, or inability to fulfill lawfully.
This contract-formation rule does not extend any shipment, delay-notice, cancellation, or refund deadline imposed by applicable law.
Each order requires fresh affirmative acceptance of the then-current Research Use Only attestations and applicable policies. Gotham will retain a versioned acceptance record.
Customers do not have a general discretionary right to cancel an order after submission. Where applicable law gives a customer a cancellation election, Gotham will record the election and effectuate the cancellation and required refund on its side.
Gotham may also cancel an order, and we will honor any cancellation, delay-notice, refund, or other right that applicable law does not permit us to waive.
Prices are stated in U.S. dollars unless clearly stated otherwise.
Applicable taxes, shipping charges, expedited-service charges, and other charges will be disclosed before order submission and displayed at checkout.
Payment may be processed by a third-party payment provider. You authorize Gotham and its provider to charge the total displayed at checkout.
We will not increase the authorized total after submission without disclosing the revised total and obtaining new authorization.
If a price or listing is materially incorrect, we may reject or cancel the affected order and issue any refund required by law.
Our Shipping & Delivery Policy governs permitted destinations, processing, shipping charges, delivery, delay, loss, damage, and mismatch.
Our Returns & Refunds Policy governs physical-return restrictions, claims, Gotham-initiated cancellation, replacements, and refunds.
Those policies preserve rights and remedies that applicable law does not permit us to waive.
You may not:
Use the Services or products for an unlawful, human, animal, veterinary, diagnostic, therapeutic, preventive, or clinical purpose;
Resell, redistribute, transfer, drop-ship, or otherwise supply a product, except for a return expressly authorized by Gotham under the Returns & Refunds Policy and completed under Gotham’s product-specific written instructions;
Make false or misleading statements, submit false information, or conceal the true purchaser, recipient, destination, purpose, or end user;
Interfere with the Services, introduce malicious code, scrape or access restricted areas without authorization, or test security without written permission;
Infringe intellectual-property, privacy, publicity, or other rights; or
Use Gotham’s name, content, products, or documentation to imply clinical suitability, government approval, affiliation, sponsorship, or endorsement.
The Services and their text, graphics, logos, designs, software, and other content are owned by or licensed to Gotham and are protected by applicable law.
We grant you a limited, revocable, nonexclusive, nontransferable right to use the Services for their intended purpose.
No other right or license is granted.
Third-party services and links may be subject to separate terms and policies.
Gotham is not responsible for independent third-party content, availability, or practices, except to the extent applicable law provides otherwise.
To the fullest extent permitted by law, the Services and products are provided “as is” and “as available.”
Gotham disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and noninfringement, except to the extent a warranty cannot lawfully be disclaimed.
Gotham does not provide medical advice and does not warrant that a product is suitable for human or animal use, diagnosis, treatment, prevention, or clinical decision-making.
Gotham offers no voluntary express product warranty beyond a conformance representation stated in written order or product documentation that Gotham expressly provides for the accepted order.
Nothing in these Terms excludes a warranty or remedy that applicable law does not permit us to exclude.
To the fullest extent permitted by law, Gotham will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, data, goodwill, or business opportunity, arising from the Services or products.
To the fullest extent permitted by law, Gotham’s aggregate liability arising from an order will not exceed the amount paid to Gotham for the product giving rise to the claim.
These limits do not apply where prohibited or to liability that applicable law does not permit us to limit.
To the fullest extent permitted by law, you will indemnify and hold harmless Gotham and its officers, employees, agents, affiliates, licensors, and service providers from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your unlawful or prohibited use, breach of these Terms or the Research Use Only Policy, false or misleading information, or unauthorized resale, transfer, or huma
